Service Agreement for Cldbus Platform

Welcome to the Cldbus Platform!
Before accepting this agreement, please carefully read the entire contents of this agreement and fully understand its terms, especially the limitations or disclaimers. Limitations or exemptions from liability will be highlighted in bold or other prominent forms to draw your attention. If you have any questions about the terms of this agreement, please contact the relevant business department for inquiries. You have no right to use this service unless you have read and accepted all the terms of this agreement and related agreements and rules. Once you choose to "Agree to the Agreement and Submit" (specific wording as detailed on the registration page) and complete the registration process, or if you use this service in any way, it will be deemed that you have read and agreed to the above-mentioned agreement, rules, and other obligations. If you engage in any actions that violate this agreement, Cldbus has the right to take measures such as restricting, suspending, or terminating the provision of services to you based on the nature of your violation, and has the right to hold you accountable.
This Service Agreement (hereinafter referred to as "this Agreement") is jointly signed by you and Cldbus. This includes but is not limited to the "Cldbus Platform Privacy Policy" and other contents. In the event of any changes, Cldbus will make announcements through website postings without further notice. The amended agreement and rules will automatically take effect and become part of this agreement upon publication, without the need for separate notification of your agreement. If you do not agree to the relevant changes, please immediately discontinue the use of Cldbus's services. If you continue to use the services, it will be deemed that you have no objection to the modified rules and agree to comply with them.

1. Definitions

1.1. Licensed Software: Refers to the software system developed by Cldbus, which you can download from the platform and install and use in designated system mobile terminals.

1.2. Service: Refers to the service provided to you by Cldbus. You can use the service on mobile terminals through the licensed software.

2. Service

2.1. Cldbus provides you with Cldbus device management services. You can control smart terminals connected to the Cldbus Cloud Platform and achieve linkage between smart devices through Cldbus. The service includes smart device management, scene linkage, analysis reports, etc. These functional services may be optimized or modified based on user needs or the unilateral judgment of the service provider, and may also be temporarily suspended due to regular or irregular maintenance.

3. Service Scope

3.1. Cldbus grants you the right to use this product through this software.

3.2. You are not allowed to license, sell, lease, transfer, distribute, or use this product for any other commercial purposes.

3.3. Due to software compatibility restrictions on platforms and terminals, you can only use the licensed software on authorized system platforms and terminals. If you install the licensed software on other terminal devices, it may cause damage to your hardware or software functionality.

3.4. You should understand that the licensed software is only for non-commercial purposes and cannot be installed, used, or operated for commercial purposes. If you need to do so, you must obtain prior written authorization and permission from Cldbus.

3.5. Cldbus may make changes, upgrades, or transfers to the licensed software and its related functions from time to time, and may add new features or services to the licensed software system. If there is no separate agreement for the above-mentioned new features or services, you can still obtain the corresponding authorization for the functionalities and services, and this agreement will apply.

3.6. You are responsible for the accuracy, reliability, completeness, and legality of the input data, as well as the legality of obtaining the data, and you should regularly back up the data, etc. You bear all risks of damage or loss of such data.

3.7. You should safeguard your account and password. If you discover any security vulnerabilities in your account (including but not limited to user password leakage), you should promptly notify Cldbus, and Cldbus will assist you in taking relevant measures. Otherwise, you will be responsible for all activities under your account and bear all responsibilities.

4. Third-party Cooperation

4.1. You are aware that some of Cldbus's services may be based on software or services provided by third parties, and these services are provided for your convenience and obtained under legal authorization from the respective third parties.

4.2. This product contains information and services from third parties. Cldbus does not control and is not responsible for the information and services provided by third parties.

4.3. You understand that Cldbus cannot guarantee the permanent use or inclusion of licensed software or such services. Cldbus also cannot guarantee the future use of other software provided by the same third party or the use of similar services from other third parties. Once the aforementioned software or services are activated, they are subject to the terms and conditions of this agreement.

5. Usage Guidelines

5.1. You should comply with the usage guidelines for the licensed software. The following are violations of the guidelines:

1) publishing or sharing software containing computer viruses, worms, malicious code, or software intended to intentionally disrupt or alter computer systems or data;

2) collecting other users' information or data, such as email addresses, without authorization;

3) maliciously using this product in an automated manner to impose excessive burdens on servers or interfere with or damage website servers and network connections in any other way;

4) attempting to access server data or communication data of this product without authorization;

5) interfering with or disrupting the use of this product by other users.

5.2. You understand and agree that:


1) Cldbus will make determinations regarding whether you are suspected of violating the aforementioned usage guidelines, and based on such determinations, may suspend, terminate your license or take other contractual restriction measures.
2) Cldbus will directly delete any information you publish when using the licensed software that is suspected of being illegal, infringing upon the legitimate rights of others, or violating this agreement.
3) If your violation of the usage guidelines causes harm to any third party, you shall bear legal responsibility in your own name and ensure that Cldbus is exempt from any losses or increased expenses arising therefrom; otherwise, Cldbus has the right to seek compensation from you.
4) If you violate any relevant laws or provisions of this agreement and cause any losses to Cldbus, you shall compensate Cldbus for the resulting losses and/or expenses incurred.

6. Information Content Guidelines

6.1. You agree not to engage in any illegal or improper activities using this service, including but not limited to the following behaviors:

6.1.1. Uploading, transmitting, or sharing information that contains any of the following content:
1) Opposing the fundamental principles established by the constitution;
2) Endangering national security, leaking state secrets, subverting the state power, or undermining national unity;
3) Harming national honor and interests;
4) Inciting ethnic hatred, discrimination, or disrupting ethnic unity;
5) Disrupting the state's religious policies, promoting cults and feudal superstitions;
6) Spreading rumors, disturbing social order, or undermining social stability;
7) Disseminating obscene, pornographic, gambling, violent, murderous, terrorist, or instigating criminal content;
8) Insulting or defaming others, infringing upon their legitimate rights;
9) Containing false, fraudulent, harmful, coercive, intrusive of privacy, harassing, infringing, defamatory, vulgar, obscene, or other morally objectionable content;
10) Containing other content restricted or prohibited by Chinese laws, regulations, rules, ordinances, and any legally binding norms.

7. Privacy Policy and Data

7.1. Protecting your personal information is important to Smart Life. Smart Life has formulated the "Smart Life Platform Privacy Policy" to provide important disclosures regarding intellectual property ownership and protection, the collection, use, sharing, storage, and protection of your information. It is recommended that you read the "Smart Life Platform Privacy Policy" in its entirety.

8. Disclaimer

8.1. Except as expressly provided by laws and regulations, Smart Life will make every effort to ensure the security, effectiveness, accuracy, and reliability of the licensed software and the associated technologies and information. However, due to existing technologies, Smart Life cannot guarantee this.

8.2. You understand that Smart Life cannot be held responsible for any direct or indirect losses caused by force majeure or third-party reasons.

8.3. You shall bear the personal injury, consequential, or indirect damages arising from or related to the following circumstances:
1) Unauthorized use of licensed software by third parties or alteration of your data;
2) Costs and losses incurred by the use of licensed software;
3) Misunderstandings regarding licensed software;
4) Other losses related to licensed software not caused by Smart Life.

8.4. Any software derived from unauthorized modification or development, other than the licensed software developed and officially released by Smart Life or its authorized developers, is illegal. Downloading, installing, and using such software may result in unforeseen risks. Any legal liabilities and disputes arising from this are unrelated to Smart Life, and Smart Life reserves the right to suspend, terminate the use of licenses, and/or all other services.

8.5. You are aware that the use of the Smart Life platform involves internet services, which may be affected by various unstable factors in the process. Despite the security measures taken by Smart Life, the service may still be interrupted, delayed, restricted, or rendered unavailable due to inherent defects in the internet and electronic communications, as well as time factors beyond the control of this agreement (including but not limited to fire, flood, terrorism, epidemic, natural disasters, riots, terminal viruses, hacking attacks, network failures, terminal failures). You expressly assume the above risks and agree that Smart Life shall not be liable for any consequences arising from the actual occurrence of the above-mentioned risk events affecting the normal operation of the service.

9. Termination of Agreement and Default Liability

9.1. You should understand that the use of Smart Life services requires compliance with the authorized scope of use of the licensed software, respect for intellectual property rights related to the software and bundled software content, compliance with software usage norms, and fulfillment of obligations as stipulated in this agreement. In the event of a serious violation of this agreement, Smart Life will terminate the license.

9.2. Your use of the software relies on the supporting services provided by Smart Life's affiliated companies. If you violate the terms, agreements, rules, notices, and other related provisions of Smart Life and its affiliated companies, it may result in your inability to use the licensed software normally, and Smart Life has the right to terminate the license or take restrictive measures on your usage and other controlled rights according to the agreement.

9.3. Once you violate the provisions of this agreement or any other agreement signed with Smart Life, Smart Life may notify its affiliated companies to take restrictive measures on your rights, including requesting the suspension or termination of partial or all services provided to you, and publicly disclosing your breach of contract on websites operated or controlled by them in accordance with the law.

9.4. The licensed software is obtained by you through downloading platforms. You need to comply with the agreements on the use and restrictions of the downloading platforms, system platforms, and terminal vendors. If the aforementioned third-party vendors confirm that you have violated the agreement and require Smart Life to handle the matter, Smart Life may terminate your usage license as requested by the third-party vendor.

9.5. Upon termination of this license, you shall cease all use of the licensed software and destroy all copies.

9.6. In the event of your violation of the terms stipulated in this agreement, resulting in losses to Smart Life or other users, you shall be held fully responsible for compensation.

10. Jurisdiction and Severability

10.1. The validity, interpretation, modification, enforcement, and dispute resolution of this agreement shall be governed by general international commercial practices and/or industry customs.
